By downloading, installing, accessing, or using the Securio mobile security application ("App") and related services ("Services"), you agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legally binding agreement between you ("User" or "you") and 1020 State Inc ("Company," "we," or "our").

If you do not agree to these Terms, you must not access or use our App or Services. Your continued use of the App constitutes your acceptance of any modifications to these Terms.

Securio is a comprehensive mobile security application that provides six core security features designed to protect your mobile device and personal data:

• Identity Monitoring: Continuous monitoring of your personal information across dark web databases and breach repositories
• Passcode Check: Analysis and strengthening of your passwords and security credentials
• Ad Blocker: Protection against intrusive advertisements and malicious ad content
• VPN Protection: Secure virtual private network services for encrypted internet browsing
• Device Security: Comprehensive device protection including anti-theft and malware scanning
• WebShield: Advanced web protection against phishing sites and malicious downloads

Our Services are provided on a subscription basis with various pricing tiers. The specific features available to you depend on your chosen subscription plan.

To access certain features of our Services, you must create a user account. When creating an account, you agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security of your account credentials and accept responsibility for all activities under your account
• Immediately notify us of any unauthorized use of your account or any security breach

You are responsible for safeguarding your account password and for all activities that occur under your account. We cannot and will not be liable for any loss or damage arising from your failure to comply with these security obligations.

The Securio App and Services, including all content, features, functionality, software, text, graphics, logos, and trademarks, are owned by 1020 State Inc and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use our App and Services for your personal, non-commercial use. This license does not include any right to:

• Sell, rent, lease, or sublicense the App or Services
• Reproduce, modify, adapt, or create derivative works
• Remove or alter any proprietary notices or labels
• Use our trademarks or service marks without our prior written consent

All rights not expressly granted to you are reserved by us and our licensors.

Our Services may allow you to submit, upload, or share content such as feedback, reviews, or support communications ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content in connection with our Services.

You represent and warrant that:

• Your User Content does not infringe on the rights of any third party
• Your User Content does not contain illegal, harmful, or offensive material
• Your User Content does not contain malware or other malicious code

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF CONTENT

While we strive to provide comprehensive security protection, no security system is 100% effective. We do not guarantee that our Services will prevent all security threats or that your device will be completely secure from all forms of malware, hacking attempts, or data breaches.

You acknowledge that your use of our Services is at your own risk and that you should maintain appropriate backup systems and security practices.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 1020 STATE INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, DATA, OR USE
• BUSINESS INTERRUPTION
• SECURITY BREACHES OR DATA THEFT
• DEVICE DAMAGE OR MALFUNCTION
• IDENTITY THEFT OR PRIVACY VIOLATIONS

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless 1020 State Inc and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of our Services
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any User Content you submit or share through our Services
• Your negligent or wrongful conduct

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

You may terminate your account and stop using our Services at any time by contacting our customer support or following the cancellation process in the App.

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Non-payment of subscription fees
• Fraudulent or illegal activity
• Extended period of inactivity
• Technical or security reasons

Upon termination, your right to use our Services will cease immediately. We may delete your account and all associated data, though we may retain certain information as required by law or for legitimate business purposes.

Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in New York, and the parties hereby consent to personal jurisdiction and venue therein.

If you are accessing our Services from outside the United States, you are responsible for compliance with local laws in your jurisdiction.

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice through our App, website, or by email at least 30 days before the changes take effect.

Your continued use of our Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using our Services.
